Which closure steps are separate from licence cancellation?
Use the company’s legal form and licensing authority to establish the route before preparing applications.
| Workstream | What needs resolving | Completion evidence |
|---|---|---|
| Company approvals and liquidation | Obtain the required owner resolutions and any formal liquidator appointment. | Approved appointment records and the authority’s required closing documents. |
| Accounts, assets and liabilities | Reconcile creditors, customer balances, assets and shareholder accounts. | Final supporting schedules and records of authorised settlements. |
| Employees and other registrations | Check labour, immigration and other authority cancellations that apply. | Relevant cancellation or clearance confirmations. |
| Tax obligations | Assess final filings, payments and each required tax deregistration separately. | FTA outcomes for the relevant registrations, rather than only a licence certificate. |
| Record custody | Identify who retains the financial and closure documents after the entity closes. | A documented handover and contact for retained records. |
If debts cannot be paid or liabilities are disputed, assess the appropriate legal route before proceeding with a routine voluntary closure.
Where a formally appointed liquidator is required, eligibility and appointment are confirmed separately. Licence cancellation and tax deregistration are tracked as separate outcomes.
Distinguish liquidation from licence cancellation
The Dubai Government guidance on closing a business shows that required documents differ by legal form and can include liquidator appointment and cancellation of labour cards. A sole establishment, a branch and a company should not be given an identical checklist. We confirm the applicable emirate and authority process; free-zone entities must be assessed against their own authority’s requirements.
We identify the entity, ownership approvals, financial position and reason for closure. If the business cannot pay its debts, has disputed liabilities or is subject to proceedings, specialist legal advice may be needed before a routine voluntary-closure plan is appropriate. Those circumstances should be disclosed at the outset.
Establish what must be collected, paid or explained
The accounting work can include reconciling bank balances, customer debts, supplier liabilities, shareholder accounts and remaining assets. We identify missing records and transactions that require approval or explanation. Employee obligations, leases, contracts and guarantees must be considered alongside the ledger. Management and the appointed liquidator retain their respective legal responsibilities; accounting assistance does not authorise us to dispose of assets or distribute funds without the required authority.
Coordinate the final obligations and evidence
Cancelling a licence does not automatically complete every tax process. The FTA Corporate Tax deregistration service has its own requirements and supporting documents. We identify the relevant tax work separately, including final records and any outstanding filings or payments, rather than assuming that an authority cancellation closes the tax account.
The closure plan records which party will obtain each approval or clearance and where evidence will be stored. A final handover distinguishes applications submitted from cancellations actually confirmed. Records may still need to be retained after closure, and the responsible custodian should be identified. Government, liquidator and other third-party charges are distinguished from Firswood’s agreed work.
Documents and records to prepare

How the work starts
Assess the closure
We review the entity, financial position and authority route, identify unresolved obligations and determine whether specialist legal or insolvency work is required.
Agree responsibilities
We define the accounting and coordination scope, confirm any required formal appointments and allocate each approval or clearance to a responsible party.
Prepare records and applications
The agreed financial schedules and document packs are prepared, while outstanding balances, authority queries and related tax work are tracked.
Confirm and hand over
We collect the available completion evidence, distinguish confirmed cancellations from pending steps and document record custody and any obligations that remain.
What affects the scope and fee?
- Legal form, jurisdiction and closure route
- Condition of accounting and tax records
- Employees, assets and outstanding liabilities
- Formal appointment and clearance requirements
- Disputes, missing documents or additional advisory work
We set out the deliverables, responsibilities and fee in the proposal. Work outside that scope is discussed before it is added.
Company liquidation FAQs
Can I close the business by not renewing its licence?
Licence expiry alone does not complete a closure. The Dubai Government closure guidance describes licence cancellation and associated authority steps. The actual requirements depend on the entity and jurisdiction. We assess the applicable process and outstanding obligations before preparing a closure plan.
Does every company need a liquidator?
The answer depends on the legal form, jurisdiction and applicable closure process. Where a formal appointment is required, the person’s eligibility and authority acceptance must be confirmed. Our proposal distinguishes accounting and coordination support from the formally appointed role, rather than suggesting that every cancellation follows the same procedure.
What if the company has unpaid debts?
The debts and the ability to pay them must be assessed before choosing a closure route. Disputed liabilities, guarantees or an inability to meet obligations may require specialist legal or insolvency advice. We can organise financial information within the agreed scope, but a routine licence-cancellation process should not be treated as a way to erase creditors.
Are tax registrations cancelled automatically?
No. Tax deregistration and final compliance work need to be assessed separately from licence cancellation. We review the registrations, filing history and outstanding balances and identify the relevant applications. The engagement states who prepares and approves each submission; a licence cancellation document is not itself confirmation that every tax account is closed.
What if the company never traded?
An inactive company may still have formation costs, shareholder funding, bank activity, registrations or authority requirements to resolve. We review the records and legal form rather than assuming no work is needed. A clear record of inactivity and any transactions helps establish the appropriate scope and supporting information for the closure.
When can shareholders receive remaining funds?
Distributions need to follow the applicable process and the authority of management or the appointed liquidator, taking account of liabilities and other obligations. We can prepare supporting financial schedules, but do not authorise a distribution merely because cash remains in the bank. Specific legal questions should be resolved before funds are released.
