Has the business stopped trading, or has VAT registration ended?
Closing a licence and closing a VAT registration are separate procedures with separate evidence.
| Stage | What still needs attention |
|---|---|
| Trading stops or activity changes | Record the last trading dates, continuing contracts and expected activity to establish whether deregistration conditions are met. |
| Application is prepared | Reconcile outstanding returns, the tax account, stock and fixed assets; explain the reason for deregistration with supporting records. |
| Effective date is confirmed | Use the date recorded by the FTA to determine the final tax period and the remaining return obligations. |
| Final obligations are completed | Retain the final return, settlement evidence and deregistration certificate; keep the historical records available after the business closes. |
Corporate tax deregistration and licence cancellation require their own checks; a VAT application does not complete either process.
We also identify the final-return work and keep it separate from licence cancellation and corporate tax closure.
Identify the basis for deregistration
The right evidence depends on the reason for the application. A cancelled licence, a sale of the business and reduced taxable activity do not present the same facts. We examine what has happened, what trading continues and whether the records support mandatory or voluntary deregistration. The FTA provides a reason-specific document checklist in its VAT deregistration service guidance.
A fall in revenue should not be assessed from one isolated month. We review the relevant trading record and expected activity, then document the basis being relied on. Article 14(1) of the VAT Executive Regulation requires a mandatory deregistration application within 20 business days of the relevant event. See the current Executive Regulation, Article 14.
Resolve the final accounting position
We reconcile the VAT account to the books and identify unfiled periods, outstanding balances and transactions that remain to be recorded. Stock, equipment, credit notes and unsettled customer or supplier items may need attention. The aim is to explain the closing position rather than assume that cancelling a trade licence makes all tax balances disappear.
Where the business is being liquidated, we coordinate the VAT work with the agreed company-closure timetable. Corporate tax deregistration, licence cancellation and other authority procedures remain separate workstreams. Your proposal identifies which of these Firswood is handling so that responsibility for a remaining filing does not fall between advisers.
Follow the approved effective date
The FTA states that the final VAT return and payable tax are due no later than 28 days from the effective deregistration date, which closes the final tax period. We check the approval and tax-account instructions before finalising that return. Read the final-return requirement.
Application submission is not the end of the process. We track clarification requests, review the decision and retain the deregistration certificate when available. Records, previous assessments and unresolved enquiries should remain accessible after the operating business closes.
Bring the whole timeline to the first discussion
Share the date trading stopped, the last invoice, any remaining contracts and the status of the licence. If another adviser has already started an application, provide its reference and correspondence. We first establish what is already in progress; submitting a conflicting explanation or overlooking a pending request can complicate an otherwise straightforward closure.
Documents and records to prepare
Tick the records you already have. The final request depends on your entity, the period and the work agreed. Please do not send financial records through this website.

How the work starts
Review the event
We establish why deregistration is proposed, its timeline and the records required to support it.
Prepare the closing position
We identify remaining returns, balances and adjustments and agree the application information with you.
Apply and complete
We support the application, review the FTA decision and coordinate the agreed final VAT work.
What affects the scope and fee?
- Reason for deregistration
- Number of outstanding periods
- Stock, assets and incomplete records
- Existing enquiries or disputed balances
We set out the deliverables, responsibilities and fee in the proposal. Work outside that scope is discussed before it is added.
VAT deregistration FAQs
Does cancelling the trade licence cancel VAT registration?
No. Treat licence cancellation and VAT deregistration as separate procedures. We review the licence event alongside the tax account and prepare the relevant VAT application where appropriate. Keep access to the authorised signatory, records and EmaraTax correspondence until the outstanding work and authority requests have been dealt with.
Can a business deregister because sales have fallen?
Possibly, but the position requires a review of the applicable conditions and the relevant trading history. We ask about recent and expected taxable activity, not only the latest month. The assessment establishes the supporting basis and whether applying is mandatory, available voluntarily or not appropriate for the facts presented.
Should we stop filing after submitting the application?
Do not assume that submission ends your existing obligations. We check the application status, the FTA's decision and the tax periods shown in the account. The final return is prepared around the approved effective date. Continue providing records and forwarding authority correspondence while the application remains under review.
What if we have outstanding returns or missing records?
We list the missing periods and reconcile the information available before agreeing a recovery plan. Preparing those accounts or overdue returns may be necessary alongside the deregistration work. The proposal separates reconstruction, filing and application support so you can understand the work involved and the matters that may delay completion.
Can Firswood handle deregistration as part of company liquidation?
Yes, we can agree a coordinated scope for the tax and business-closure work. Each authority process still needs its own evidence and completion checks. We identify the party responsible for each step, record dependencies and explain any specialist or additional work before treating the company-closure project as complete.
